1. Acceptance of Terms

By accessing or using Convalent (“the Platform”), joining our early access waitlist, or interacting with our website and services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not use our services.

2. Description of Service

Convalent is an AI-powered intelligence platform designed to assist recruiting teams across the hiring lifecycle. Our services include, but are not limited to:

  • AI-assisted job requirement creation and optimization
  • Multi-channel job distribution
  • Candidate discovery and matching
  • Intelligent candidate screening and insights
  • Hiring pipeline management

The Platform is currently in early access. Features, availability, and functionality may change without prior notice.

3. Waitlist & Early Access

Joining the Convalent waitlist indicates your interest in our platform and provides eligibility for early access. Important clarifications:

• Waitlist submission does not guarantee immediate or eventual platform access.

• We reserve the right to grant, deny, or revoke access at our sole discretion.

• Early access features may differ from the final production version of the Platform.

• No service-level agreements (SLAs) apply to early access users unless explicitly agreed in writing.

4. User Accounts & Responsibilities

When using Convalent, you agree to:

  • Provide accurate, current, and complete information
  • Maintain the security and confidentiality of your account credentials
  • Use the Platform only for lawful hiring and recruitment purposes
  • Comply with all applicable employment laws and regulations in your jurisdiction
  • Not use the Platform to discriminate against candidates on the basis of race, gender, age, disability, religion, or any other protected characteristic

5. AI Intelligence & Hiring Decisions

Important: Convalent provides AI-powered intelligence to assist recruitment teams. All final hiring and employment decisions remain the sole responsibility of the employer and their authorized representatives. Convalent is not an employer, staffing agency, or employment decision-maker.

AI-generated scores, rankings, and recommendations are advisory in nature and should be used in conjunction with human judgment. We do not guarantee the accuracy, completeness, or suitability of any AI output.

6. Acceptable Use

You agree not to:

  • Reverse-engineer, decompile, or attempt to extract the source code or algorithms of the Platform
  • Use automated tools, bots, or scrapers to access or extract data from the Platform
  • Resell, sublicense, or redistribute Platform access or outputs without written authorization
  • Introduce malicious code, viruses, or any harmful technology
  • Interfere with or disrupt the integrity or performance of the Platform
  • Use the Platform to engage in any activity that violates applicable laws

7. Intellectual Property

All content, trademarks, logos, designs, interface elements, AI models, algorithms, and underlying software of the Convalent Platform are the exclusive property of Convalent and are protected by applicable intellectual property laws.

You retain ownership of all proprietary data you upload or input into the Platform, including job descriptions, candidate information, and company data. By using the Platform, you grant Convalent a limited license to process this data solely for the purpose of delivering our services to you.

8. Data & Privacy

Your use of Convalent is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using our services, you consent to the data practices described therein.

9. Disclaimer of Warranties

The Platform is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Convalent and its officers, directors, employees, affiliates, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of (or inability to use) the Platform
  • Any hiring decisions made using Platform outputs
  • Unauthorized access to your data or transmissions
  • Any third-party conduct on the Platform

11. Termination

We may suspend or terminate your access to Convalent at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination shall survive, including intellectual property, limitation of liability, and dispute resolution.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Convalent is incorporated, without regard to its conflict of law provisions.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated terms on this page with a revised “Last Updated” date. Your continued use of the Platform after such changes constitutes acceptance of the updated terms.
